Plain-language change summary

The amendments to HB 1189 introduce clearer guidelines for handling defective corporate actions, particularly around the process of ratification. Notably, they establish specific procedures for validating putative shares if there’s an overissue and outline quorum and voting requirements for these ratifications. This is important because it helps ensure that corporate actions are legally solid and that shareholders are adequately informed and involved in the decision-making process, ultimately promoting better corporate governance.
