What changed in the latest version
6 added · 6 removedPlain-language change summary
The revised version of Bill HB 124 includes additional sections that clarify the roles and responsibilities of directors and officers in benefit corporations, particularly regarding their liabilities and how they should make business judgments. This change is significant because it helps ensure accountability while allowing directors to consider broader stakeholder interests, not just shareholder profits, when making decisions. By explicitly stating the criteria for personal liability and decision-making processes, the bill aims to support corporations that focus on achieving public benefits alongside their business objectives.
