Plain-language change summary

The updated version of Bill HB 3394 now includes a new section that focuses on increasing the representation of female and minority directors on corporate boards in Illinois. It emphasizes the importance of this representation for economic growth and equal opportunity while calling for further data collection on the issue. This change matters because it prioritizes diversity in corporate leadership, aiming to address wage disparities and create a more inclusive business environment in the state. In contrast, the earlier version imposed specific minimum requirements for board composition, which have now been replaced with a broader goal of studying and enhancing diversity.

HB3394 Enrolled LRB101 11207 TAE 56454 b AN ACT concerning business.
The Business Corporation Act of 1983 is amended by adding Section 8.10.1 as follows:
The Business Corporation Act of 1983 is amended by changing Section 14.05 and adding Section 8.12 as follows:
(805 ILCS 5/8.10.1 new) Sec.
(805 ILCS 5/8.12 new) Sec.
8.10.1.
8.12.
Composition of board of directors.
Female and minority directors.
(a) No later than the close of the 2020 calendar year, a publicly held domestic or foreign corporation whose principal executive offices, according to the corporation's SEC 10-K form, are located in Illinois shall have a minimum of one female director and one African American director on its board of directors.
(a) Findings and purpose.
A corporation may increase the number of directors on its board to comply with this Section.
The General Assembly finds that women and minorities are still largely underrepresented nationally in positions of corporate authority, such as serving as a director on a corporation's board of directors.
(b) No later than July 1, 2020, the Secretary of State shall publish a report on its website documenting the number of domestic and foreign corporations whose principal executive offices, according to the corporation's SEC 10-K form, are located in Illinois and that have at least one female director and one African American director.
This low representation could be contributing to the disparity seen in wages made by females and minorities versus their white male counterparts.
(c) No later than March 1, 2021, and annually thereafter, the Secretary of State shall publish a report on its Internet website regarding, at a minimum, the following:
Increased representation of these individuals as directors on boards of directors for corporations may boost the Illinois economy, improve opportunities for women and minorities in the workplace, and foster an environment in Illinois where the business community is representative of our residents.

(2) The number of publicly held corporations that moved their United States headquarters to Illinois from another state or out of Illinois into another state during the preceding calendar year.
(b) As used in this Section:
